These General Terms and Conditions of Sale, hereinafter referred to as the "GTC", apply to all sales of products and services made by Le Mas du Roseau to customers acting exclusively within the scope of their professional activity, hereinafter referred to as the "Customer".

Access to certain catalogues, prices, commercial documents or ordering functionalities may be reserved for professionals with a customer account previously validated by Le Mas du Roseau.

Mas du Roseau reserves the right to refuse, suspend or delete professional access when the information provided is inaccurate, when the applicant does not justify a professional activity or in the event of fraudulent use of the account.
Login credentials are personal and confidential. Any order placed from the Customer's account is deemed to have been placed by that Customer.
Mas du Roseau presents the essential characteristics of its products in its catalogues, quotes, product sheets and sales materials.
Photographs, illustrations, colors, and contextualizations are presented for illustrative purposes only. They do not constitute a contractual commitment regarding the exact appearance of the product.
Due to the handcrafted nature of some products and the use of natural raw materials, slight variations may occur, particularly regarding:

The Customer is responsible for verifying all information provided before validating their order: references, quantities, perfumes, texts, addresses, countries, billing details and delivery methods.
Automatic receipt of a purchase order or email does not necessarily constitute final acceptance of the order.

Mas du Roseau may refuse or suspend an order in the event of incomplete information, stock shortage, production difficulty, previous payment incident or obvious risk of insolvency.
Minimum order quantities are indicated in the catalogues, quotes, price lists or current commercial offers.
Semi-customized products may be offered starting from 60 pieces, subject to the references and terms specified in the quote.
Fully customized or white-label projects may be subject to specific minimum quantities, determined according to the nature of the product, formula, packaging and project.
Prices are expressed in euros., excluding taxes, Unless otherwise stated, applicable VAT and any additional charges will be added at the time of invoicing.
The applicable prices are those indicated in the professional price list, quote or order confirmation in effect on the day of the order.

Prices are subject to change at any time. A price change will not apply to orders already accepted by Le Mas du Roseau, unless otherwise agreed upon by the parties or due to a change in applicable tax laws.
Any discounts, rebates or special conditions that may be granted are specified on the quote, order confirmation or invoice.
No discount is given for early payment unless otherwise agreed in writing.

These conditions apply to standard deliveries in mainland France, excluding Corsica, islands, hard-to-reach areas and destinations subject to special constraints.
Shipping costs may vary depending on the weight, volume, number of packages, destination, or logistical constraints of the order. The applicable amount will be displayed before final order confirmation.
For deliveries to Corsica, overseas territories, or internationally, shipping costs are calculated according to:
The shipping cost is communicated to the Client in the quote or order confirmation.
Customs duties, import taxes, administrative fees and other contributions payable in the country of destination are the sole responsibility of the Client, unless otherwise stated in writing.
The Client is responsible for verifying the import and marketing conditions of the products in their country.
The deadlines given are indicative only, unless Mas du Roseau makes an express written commitment to a firm date.
The time limit begins to run when all the necessary conditions are met, including:
A reasonable delay cannot justify cancellation of the order, refusal of products or payment of damages, unless there is a contrary written commitment or serious fault on the part of Mas du Roseau.
Mas du Roseau informs the Customer as soon as possible when an event is likely to affect the preparation or delivery of the order.
Partial deliveries are permitted when necessary and do not cause disproportionate harm to the Customer.
The goods are delivered to the address provided by the Customer when placing the order.
The Customer must ensure that this address is complete, accurate, and accessible to the carrier. Any costs resulting from an incorrect address, absence, unjustified refusal, or redelivery may be charged to the Customer.
Upon delivery, the Customer must check:
In the event of damage, missing items, or a damaged package, the Customer must write specific, complete, and detailed reservations on the carrier's delivery receipt. General statements such as "subject to unpacking" are insufficient.
The Customer must then confirm their claim to the carrier and inform Le Mas du Roseau within the legal time limits, attaching photographs, the delivery note and any useful supporting documents.
In the absence of sufficiently precise reservations, the delivery may be considered accepted with regard to apparent damage.
The risks of loss or damage are transferred to the Customer according to the terms agreed for delivery and the legal rules applicable to transport between professionals.
When the Customer chooses the carrier himself or collects the products, the risks are transferred to him as soon as the goods are handed over to the carrier or as soon as they are made available.
Unless otherwise specified on the quote, order confirmation, or invoice, invoices are payable within a period of 30 days from their date of issue.
Mas du Roseau can request:
The terms granted to the Customer may change depending on the history of the business relationship, the amount of the order or the risk of non-payment.
Payment can be made using the payment methods indicated on the quote or invoice.
An order may be suspended until a deposit or an overdue invoice has been paid.
Any late payment will automatically and without prior notice incur penalties calculated on the basis of the European Central Bank's current semi-annual key interest rate, plus 10 percentage points.
These penalties are calculated on the remaining amount due including tax and are payable from the day following the payment date indicated on the invoice.
A lump-sum indemnity of €40 for collection fees is also due for each invoice paid late.
When the actual recovery costs incurred are greater than this compensation, Le Mas du Roseau may request additional compensation upon presentation of supporting documents.
Late payment can also lead to:
Mas du Roseau retains ownership of the goods delivered until full payment of their price, including principal, taxes, fees and accessories.
The Customer agrees to keep the products in an identifiable manner until full payment is received and not to give them as collateral.
Failure to pay an installment may result in Le Mas du Roseau reclaiming the goods, without prejudice to any other legal action available to it.
However, the risks associated with the products are transferred to the Customer under the conditions stipulated in these General Terms and Conditions. The Customer must therefore insure the goods upon delivery or collection.
For any personalized creation, Le Mas du Roseau can send the Client a proof, hereinafter referred to as "BAT".
The Customer must carefully check:
Approval of the final proof (BAT) is binding on the Client. After approval, no modifications or cancellations can be requested without the written consent of Mas du Roseau.
Any changes requested after validation may incur costs and extend the processing time.
Color rendering may vary between a screen, a printed document, a natural medium, and the final product. A reasonable difference in shade or positioning does not constitute a defect.
Minor quantity variations may also result from manufacturing constraints. When a specific tolerance applies, it is detailed in the quote.
The Client guarantees that it has all the necessary rights and authorizations over the elements it transmits to Mas du Roseau, including:
The Client guarantees Le Mas du Roseau against any claim, action or demand from a third party related to the use of these elements.
Mas du Roseau may refuse any content that is manifestly illegal, misleading, discriminatory, contrary to public order or infringing on the rights of a third party.
The rights relating to the products, formulas, illustrations, graphics, models, photographs, packaging, documents and creations produced by Le Mas du Roseau remain its property, unless expressly assigned in writing.
Payment for an order does not automatically entail the transfer of intellectual property rights attached to the creations.
Any potential transfer must be specified in writing:
Unsuccessful projects, proposals or models may not be used, reproduced or transmitted to a third party without authorization.
Any request for cancellation or modification must be sent in writing to Mas du Roseau.
It only becomes effective after written acceptance by the Seller.
When an order has already been prepared, put into production or personalized, Le Mas du Roseau may refuse its cancellation or charge:
Personalized products, custom-made or specially ordered for the Customer cannot be returned, exchanged or refunded, except in the case of a recognized lack of conformity.
The right of withdrawal provided for the benefit of consumers does not apply to orders falling within the scope of these General Terms and Conditions between professionals.

Products must be returned complete, properly protected and in their original packaging, according to the instructions provided by Le Mas du Roseau.
After verification, if the non-conformity is confirmed, Le Mas du Roseau may, depending on the situation:

The Customer who resells the products undertakes to comply with the applicable conditions of storage, preservation, presentation and traceability.

Mas du Roseau can only be held liable in the event of proven fault directly attributable to it.

Except in cases of gross negligence, fraud or contrary legal provision, the total liability of Mas du Roseau is limited to the amount excluding taxes actually paid by the Client for the order in question.
The Customer remains solely responsible for the choice of products, their storage conditions and their suitability for the intended use.
Neither party shall be held liable for any failure resulting from a force majeure event as defined in Article 1218 of the French Civil Code and French case law.

Computer records, emails, quotes, purchase orders, confirmations and data recorded in the Mas du Roseau systems may be used as evidence of exchanges, orders and payments made between the parties.
The Client agrees that communications and contractual documents may be transmitted to him/her electronically.
If any provision of these Terms and Conditions is declared invalid or unenforceable, the other provisions shall remain in effect.
The fact that Le Mas du Roseau does not exercise a right provided for in these Terms and Conditions on a particular occasion does not constitute a waiver of its right to exercise it subsequently.
These General Terms and Conditions and the commercial relationship between the parties are governed by French law.
In the event of a dispute, the parties agree to seek an amicable solution as a priority.

In the absence of an amicable agreement, any dispute between Le Mas du Roseau and a Client with the status of trader shall be submitted to the competent courts in the jurisdiction of the registered office of Le Mas du Roseau, including in the event of multiple defendants or third-party claims.
This allocation of jurisdiction applies only within the limits authorized by law.
